Public offer agreement

This document is a public offer to enter into a contract under the terms below, in line with the Civil Code of Ukraine and the Law of Ukraine “On Electronic Commerce”. Accepting the offer means full and unconditional acceptance of these terms. For customers in Ukraine, the Ukrainian version prevails.
1. Provider

2. Customer
The Customer is a legally capable individual or an authorised representative of a legal entity / sole proprietor who accepts this offer (the “Customer”).
By entering into the contract, the Customer confirms they act on their own behalf or have authority to act for the person they represent, and that the contact details provided are accurate.
3. Subject matter
The Provider supplies services and/or access to digital content on the Site, including:
- set-up and/or management of paid social / performance ads;
- consultations (including SMALL TALKS);
- training / mentoring;
- digital materials (guides, templates, checklists, etc.).
Scope, timing, price and deliverables are defined on the relevant page, in an invoice, correspondence or a brief. Written scope terms prevail over this offer for the scope of work; other offer terms remain in force.
4. Acceptance
The contract is formed upon acceptance. Acceptance includes any of the following:
- payment for services or materials on the Site / against the Provider’s invoice;
- submitting a lead form and then confirming start of work or paying an issued invoice;
- written confirmation (including email / messenger) of agreement to the terms and scope.
Payment or confirmation means the Customer has read this offer and the privacy policy and agrees to them.
5. Price and payment
Prices are shown on the Site or agreed individually. The Provider may change prices for new orders; accepted orders keep the price fixed at acceptance / in the invoice.
Payment to the sole proprietor’s UAH account (including via WayForPay), at the exchange rate on the payment date if the Site price is shown in another currency.
Payment is generally prepaid unless otherwise agreed in writing. Access to digital materials is provided after payment confirmation by the payment provider or receipt of funds.
Invoices / fiscal documents (where required) are issued as applicable to a Ukrainian sole proprietor.
6. Service delivery
Timelines and stages follow the Site description, brief or correspondence. The Customer must timely provide access, assets, accurate information and feedback needed to perform the work.
Customer delays extend delivery timelines accordingly. The Provider is not liable for campaign results if the Customer ignores recommendations, changes settings without approval, provides inaccurate data, or if ad platforms restrict accounts for reasons beyond the Provider’s control.
Marketing results depend on market, creatives, offer, budget and Customer actions; the Provider does not guarantee fixed leads, sales or ROAS unless expressly agreed in writing as KPIs with conditions.
7. Digital materials
After payment the Customer receives a personal non-exclusive right to use the material for their own business. It is prohibited to redistribute, resell, publish the file publicly, share access, or create competing commercial derivatives without written consent.
Access is delivered as described on the Site or in the post-payment email. The Customer is responsible for safeguarding access links.
8. Withdrawal, refunds and claims
Mandatory consumer rights under Ukrainian law are not limited by this offer.
Digital content: after full access is granted, refunds are available if the content materially differs from the Site description or is unusable due to the Provider’s fault. Notify the Provider within 14 calendar days of access.
Services: if work has not started — refund of the amount paid minus non-refundable payment-provider fees (if any). If work has started — a proportional refund for the undelivered part, or another arrangement agreed by the parties.
Monthly retainers: early termination after the period starts may allow a pro-rata refund by agreement; if the Provider materially breaches — the Customer may request a proportional recalculation.
Claims: email the Provider with description and evidence. Review period: up to 14 calendar days.
9. Liability
The parties are liable under Ukrainian law.
The Provider is not liable for indirect loss, lost profits, ad-account bans by platforms, third-party acts, or force majeure (including martial law, outages of connectivity, payments or hosting), except where mandatory law provides otherwise.
The Provider’s aggregate monetary liability for a given order is limited to the amount actually paid for that order, except for wilful misconduct or gross negligence, or where limitation is prohibited by law.
10. Intellectual property
The Site, texts and Provider materials remain the Provider’s IP (or that of rightsholders). The Customer receives only the usage rights set out in the contract.
Creatives and data supplied by the Customer remain theirs; the Customer warrants they have rights to use them in advertising.
11. Confidentiality
The parties must not disclose confidential information obtained during cooperation except as required by law or with the other party’s consent. Personal data is processed under the Site privacy policy.
12. Changes to the offer
The Provider may update this offer by publishing a new version on this page. Contracts already formed follow the version effective at acceptance, unless a change is required by law or agreed by the parties.
13. Governing law and disputes
Ukrainian law applies. Disputes are resolved by negotiation, then under the procedures of Ukrainian law.
If this English text conflicts with the Ukrainian version, the Ukrainian version prevails.
